Navigating AI’s Legal Landscape: Secondary Liability Insights

The rise of artificial intelligence (AI) has revolutionized the way content is created, remixed, and distributed. This rapid transformation also brings significant intellectual property (IP) challenges that extend beyond the end users generating AI outputs. Companies developing, hosting, and deploying AI tools must now grapple with potential secondary liability.

The landmark case of MGM Studios Inc. v. Grokster, Ltd., decided by the United States Supreme Court in 2005, serves as a crucial legal reference point for understanding these liabilities. Grokster offered peer-to-peer software with both legal and unlawful uses. The Court focused on whether the company encouraged infringement, ultimately concluding that companies can face secondary liability if their actions or messaging appear designed to promote illicit activities.

This principle applies to AI models today, which can serve a multitude of purposes. Legal disputes often hinge on the intent and direction that these products push their users toward. Once credible signs of infringement arise, scrutiny shifts dramatically to how the companies involved respond.

Understanding how an AI secondary liability claim might be framed is essential for businesses operating in this space. Several key questions can help identify potential vulnerabilities.

Identifying Risks in AI Deployment

First, businesses must consider what they might be encouraging, even inadvertently. Marketing materials, tutorials, and example prompts can be interpreted as guides for unlawful use. If templates provided by an AI tool closely resemble copyrighted characters, it could lead to claims that the product was designed with infringement in mind.

Second, the ability to demonstrate a strong story of lawful use is critical. Companies must focus on the concept of “substantial non-infringing use.” Tools primarily employed for legitimate functions, such as drafting internal documents or summarizing meetings, are easier to defend than those designed to replicate paywalled articles.

Another crucial factor is knowledge of potential infringement. Documented complaints, credible notices, and internal metrics indicating patterns of infringement can undermine arguments claiming lack of awareness. As time passes, inaction may be perceived as a decision to overlook known risks.

Governance and Control Measures

Companies must also evaluate their control over the AI’s use and whether they are monetizing associated risks. If organizations can oversee usage through account management, moderation, or termination rights while benefiting financially from high-volume applications, claimants may argue that the companies had both the ability to intervene and a financial incentive to remain passive.

To fortify their legal standing, companies should establish documented governance throughout the AI lifecycle. This includes ensuring traceability of training data, instituting policies for customer modifications involving third-party content, and monitoring output for patterns resembling replication. A clear process for addressing repeat users who make high-risk requests is also vital.

Moreover, product features, contractual terms, and marketing content must align with the actual capabilities of the AI tool. This consistency allows organizations to demonstrate that they anticipated foreseeable risks and made reasonable design choices to mitigate them.

As AI technology advances, understanding the implications of secondary liability becomes increasingly important for businesses. By proactively addressing these challenges, companies can navigate the complex legal landscape while harnessing the transformative power of AI.
