Averna and Spherea Unite to Set New Standards in Test Engineering

Averna, a prominent player in test and quality solutions, has announced a strategic consolidation with Spherea, a respected provider of test systems for mission-critical sectors. This agreement will see Spherea fully acquire Averna, marking a pivotal moment in both companies’ ambition to establish themselves as the leading test and quality engineering systems integrator globally. The transaction, supported by Andera Partners, an international private equity fund, along with ongoing investment from Walter Capital Partners and the management teams of both firms, is set to close by the end of December 2025, subject to regulatory approvals.

The newly formed Spherea group will be led by Patrice Bélié, currently CEO of Spherea, who will assume the role of CEO for the integrated organization. François Rainville, CEO of Averna, will continue to lead that company while also taking on the position of Chief Operating Officer for the combined entity. This merger will create one of the largest independent system integrators dedicated to test and quality solutions, employing over 1,800 people across 13 countries.

Both companies aim to leverage their combined expertise to create significant value across a variety of industries, including aerospace and defense, consumer electronics, medical devices, automotive, data centers, and power and energy. “This partnership is a natural evolution of our shared vision,” said Patrice Bélié, emphasizing the potential for innovation and excellence in their services. François Rainville echoed this sentiment, noting that the two companies are highly complementary in technology and market presence, which will facilitate greater innovation and enhanced customer value.

Under the new structure, Averna and Spherea will continue their operations in their respective markets while working closely to identify the best commercial and operational strategies to capitalize on their strengths. This approach is designed to maximize efficiency and effectiveness in delivering advanced test and quality engineering solutions to clients worldwide.
