Providence, a major player in the health care sector, is currently engaged in exclusive discussions to transfer ownership of Napa County’s largest hospital, the Queen of the Valley Medical Center, to NorthBay Health, a nonprofit organization based in Solano County. This announcement was made by Garry Olney, Chief Executive of Providence Northern California, in a memo to staff on Thursday, outlining the initial steps of this potential transition.
The transfer process has commenced with the signing of a Letter of Intent. Olney indicated that the anticipated completion of the transfer, pending a definitive agreement and necessary regulatory approvals, is expected by the end of 2026. He emphasized that this decision was reached after a thorough deliberation process lasting several months.
Challenges Facing Healthcare Providers
The proposed sale comes at a challenging time for hospital operators across the United States. Recent cuts to Medicaid reimbursements, enacted last year as part of President Donald Trump’s tax and spending legislation, have placed significant financial pressure on many health care facilities. Providence has faced its own difficulties, having recently made cuts that included closing the labor and delivery unit at Petaluma Valley Hospital and planning to close the inpatient pediatric unit at Santa Rosa Memorial Hospital this month. In addition to these facilities, Providence operates Healdsburg Hospital and more than 50 hospitals across seven western states.
As the discussions advance, a spokesperson for Providence clarified that while the talks are exclusive, they remain in the early stages. Olney acknowledged the potential emotional impact of the announcement on staff and the community, stating that resources will be made available to assist caregivers during this transition.

NorthBay Health, which operates hospitals in Fairfield and Vacaville, has been identified by Providence as a suitable steward for the Queen of the Valley Medical Center.
